8path (the Service)
provides a wide variety of tools to create and manage communities. Our
provision of this Service is subject to the following terms and conditions and
any rules, guidelines or policies (collectively, "Terms of Service")
that may be published from time to time by 8path. We may update any or all of
the Terms of Service from time to time without notice. You understand that the
Service is provided "AS-IS" .
Account, Password and Security
You will receive a
password and account designation upon completing the Service's registration
process. You are responsible for maintaining the confidentiality of the
password and account, and are fully responsible for all activities that occur
under your password or account. You agree to (a) immediately notify 8path of
any unauthorized use of your password or account or any other breach of
security, and (b) ensure that you exit from your account at the end of each
session. 8path cannot and will not be liable for any loss or damage arising
from your failure to comply with this Section.
Member Conduct
You understand that all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, not 8path, are entirely responsible for all Content that you upload, post, email or otherwise transmit using the Service. 8path does not control the Content posted using the Service and as such does not guarantee the accuracy, integrity or quality of such Content.
You acknowledge and agree that 8path may preserve or remove Content and may disclose Content, including information about your account or your use of the Service, to any third party if required to do so by law or in the good faith belief that such preservation, removal or disclosure is necessary to:
- comply with legal process;
- enforce the Terms of Service;
- respond to claims that any Content violated the rights of third parties; or
- protect the rights, property, or personal safety of 8path, its members or the public.
Content Posted on 8path
You agree that upon posting any material within a community on 8path, you grant
8path and its successors and assigns, a non-exclusive worldwide, royalty free,
perpetual, non-revocable license under your copyrights or other intellectual
property rights, if any, in such material to distribute, display, and reproduce
such material to other members of that community. You also grant 8path the
right to authorize the downloading and printing in whole or in part of any
material that you have posted to a community on the Service, by members for
their personal use. You agree to take whatever action necessary to protect your
own intellectual property rights in such Content, including without limitation
the posting of appropriate copyright notices.
You agree to indemnify and hold 8path, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post to or transmit through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Service, or your violation of any rights of another.
You agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.
